Introduction
Gatherful LLC ("Gatherful," "we," "us," or "our") provides community strategy consulting services. These Terms and Conditions ("Terms") govern your engagement with our services. By engaging with Gatherful's services, you agree to these Terms.
Services
Gatherful provides professional services including but not limited to community strategy consulting, fractional community leadership, speaking engagements, workshops and training, and community program development.
Confidentiality
We maintain strict confidentiality of all client information. Any information shared during our engagement will be kept confidential unless written permission is granted by the client, required by law or legal proceedings, already public knowledge through no fault of Gatherful, or necessary for service delivery with prior agreement.
Intellectual Property
Gatherful retains ownership of all methodologies, frameworks, processes, and pre-existing materials. Clients retain ownership of their specific community data, content, and materials provided to Gatherful. Deliverables ownership and usage rights are specified in individual agreements.
Payment Terms
Payment terms are specified in individual service agreements. Invoices are due within terms specified in service agreement. Late payments may be subject to applicable fees. All fees are non-refundable unless otherwise specified.
Service Delivery
Services are delivered as specified in individual agreements. Timeline and deliverables are outlined in project scope. Modifications require written agreement from both parties. Force majeure conditions apply.
Cancellation and Rescheduling
For Community Strategy Hour sessions, 48-hour notice is required for cancellation. For workshops and speaking engagements, 14-day notice is required. Custom consulting projects have cancellation terms specified in the project agreement. Rescheduling is subject to availability, and cancellation fees may apply as specified in agreements.
Client Responsibilities
Clients agree to provide timely and accurate information, maintain prompt communication, participate actively in agreed processes, adhere to project timelines, provide feedback when requested, and honor payment obligations.
Liability Limitation
Gatherful's liability is limited to the amount paid for services. We are not liable for indirect or consequential losses, business interruption, loss of revenue or profits, or third-party claims. Force majeure events are excluded from liability.
Privacy and Data
Data collection and processing follow our Privacy Policy. Client data is handled according to confidentiality agreements. We comply with GDPR and applicable data protection laws. Data security measures are in place, and third-party service providers may be used with appropriate safeguards.
Communication
Primary communication is through email and scheduled calls. Response times are during business hours (EST). Emergency contact procedures are specified in agreements. Session recording requires prior consent.
Modifications
We reserve the right to modify these Terms. Changes will be posted on our website and notified via email for existing clients. Changes become effective 30 days after posting. Previous terms apply to services contracted before changes.
Governing Law
These Terms are governed by the laws of the State of California. Any disputes shall be subject to the exclusive jurisdiction of the courts of California.
